These Terms and Conditions ("Terms") govern your access to and use of the website operated by the Canadian Medical Manufacturers Association ("CMMA", "we", "us", or "our"), located at www.cmma-canada.org and any related subdomains (collectively, the "Website").
By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Website.
CMMA is a non-profit organization incorporated under the laws of Canada, with its principal office located in Toronto, Ontario. We reserve the right to modify these Terms at any time. Your continued use of the Website following any changes constitutes acceptance of the revised Terms.
"Content" means all text, graphics, images, logos, trademarks, audio, video, data, research, publications, and other materials available on or through the Website.
"Member" means any organization or individual that has been approved for membership in CMMA and maintains membership in good standing.
"User" means any person who accesses or uses the Website, whether or not they are a Member.
"Services" means all services provided by CMMA through the Website, including but not limited to membership applications, certification programs, event registration, newsletter subscriptions, and access to member-only resources.
"Content" means all text, graphics, images, logos, trademarks, audio, video, data, research, publications, and other materials available on or through the Website.
"Member" means any organization or individual that has been approved for membership in CMMA and maintains membership in good standing.
"User" means any person who accesses or uses the Website, whether or not they are a Member.
"Services" means all services provided by CMMA through the Website, including but not limited to membership applications, certification programs, event registration, newsletter subscriptions, and access to member-only resources.
4.1 Eligibility: Membership in CMMA is available to Canadian manufacturers of medical products who meet the eligibility criteria established by the Association. CMMA reserves the right to approve or reject any membership application in its sole discretion.
4.2 Membership Dues: Members agree to pay the applicable membership dues as set forth on the Website. Membership dues are non-refundable except as otherwise provided in the CMMA Membership Agreement.
4.3 Member Obligations: Members agree to comply with all CMMA bylaws, policies, and procedures, and to conduct their business in accordance with the highest ethical standards.
4.4 Termination: CMMA may terminate or suspend membership for violation of these Terms, non-payment of dues, or conduct detrimental to the interests of the Association.
5.1 Canada First Product Certification: The CMMA certification mark is available to qualifying Member products that meet the Association's certification standards for Canadian manufacturing.
5.2 Canada First Hospital Certification: Healthcare institutions may participate in the Canada First Hospital certification program subject to the terms and conditions of that program.
5.3 Certification Standards: CMMA reserves the right to modify certification standards and requirements at any time. Certified entities must maintain compliance with current standards to retain certification status.
5.4 Use of Certification Marks: Certified Members and institutions may use CMMA certification marks only in accordance with the CMMA Brand Guidelines. Unauthorized use of CMMA marks is strictly prohibited.
6.1 Ownership: The Website and all Content, including but not limited to the CMMA name, logo, certification marks, and all research, publications, and materials, are owned by or licensed to CMMA and are protected by Canadian and international copyright, trademark, and other intellectual property laws.
6.2 Limited License: Subject to these Terms, CMMA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for its intended purposes. This license does not include the right to modify, reproduce, distribute, or create derivative works from any Content.
6.3 Restrictions: You may not use, copy, reproduce, republish, upload, post, transmit, or distribute any Content without our prior written permission, except as expressly permitted by these Terms.
7.1 Submissions: By submitting any information, materials, or content to CMMA through the Website (including membership applications, contact forms, and event registrations), you grant CMMA a non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and distribute such submissions for the purposes of operating the Association and its programs.
7.2 Accuracy: You represent and warrant that all information you provide through the Website is accurate, complete, and current. You agree to promptly update any information that becomes inaccurate.
7.3 Confidentiality: CMMA will handle information submitted through the Website in accordance with our Privacy Policy. However, you acknowledge that electronic communications may not be secure, and you should not submit sensitive information through unsecured channels.
8.1 THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8.2 CMMA DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8.3 The Content on the Website is provided for general informational purposes only and does not constitute professional advice. You should not rely on any Content as a substitute for professional advice appropriate to your circumstances.
9.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CMMA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND MEMBERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE.
9.2 IN NO EVENT SHALL CMMA'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT OF MEMBERSHIP DUES PAID BY YOU TO CMMA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS ($100 CAD), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless CMMA and its directors, officers, employees, agents, and Members from and against any and all claims, liabilities, damages, losses, costs,
and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Website; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your conduct in connection with the Website.
The Website may contain links to third-party websites or resources. These links are provided for your convenience only. CMMA has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites. Your use of third-party websites is at your own risk.
CMMA may terminate or suspend your access to the Website at any time, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Website will immediately cease.
13.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
13.2 Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any disputes arising out of or relating to these Terms or your use of the Website.
13.3 Dispute Resolution: Before initiating any legal proceedings, the parties agree to attempt in good faith to resolve any dispute through informal negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue legal remedies.
14.1 Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and CMMA regarding your use of the Website.
14.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.3 Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
14.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without CMMA's prior written consent. CMMA may assign these Terms without restriction.
